Terms of Service
Last updated: 24 October 2026
These Terms of Service (“Terms”) govern engagements with EXO LOGICS LLC (“EXO LOGICS”, “we”, “us”) based in Sharjah, United Arab Emirates.
1. Scope of services
Each engagement is governed by a separate signed Statement of Work (SOW) detailing scope, timeline, deliverables, and price. These Terms apply alongside the SOW; the SOW prevails where there is conflict.
2. Intellectual property
Upon final payment, deliverables produced specifically for your engagement (designs, code, brand assets) transfer to you. We retain ownership of pre-existing tools, libraries, frameworks, and methodologies used in producing the deliverables.
3. Payment
Standard terms are 50% on engagement start, 50% on delivery (smaller projects), or milestone-based for engagements over 90 days. Invoices are due NET 14 unless otherwise specified. Late payment may incur 1.5% interest per month.
4. Revisions + change requests
Each SOW specifies the included revision rounds. Changes beyond agreed scope require a written Change Order with updated cost + timeline impact.
5. Confidentiality
We treat all client business information as confidential. A separate Non-Disclosure Agreement (NDA) is available on request before commercial discussions.
6. Warranty + liability
We deliver work to professional standards but cannot warrant that deliverables will achieve specific business outcomes. Our total liability for any claim shall not exceed fees paid for the specific engagement giving rise to the claim.
7. Termination
Either party may terminate with 30 days’ written notice. Work delivered up to termination is invoiced + payable; in-flight work is invoiced pro-rata for time spent.
8. Governing law
These Terms are governed by the laws of the United Arab Emirates. Disputes shall be resolved exclusively by the courts of the Emirate of Sharjah.
